Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the NextSell Agency platform (“Service”) operated by NextSell Agency (“NextSell”, “we”, “us”, or “our”) at https://www.nextsell.ai.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Service Description

NextSell Agency is a B2B SaaS platform that provides OnlyFans content agency management tools, including:

• AI-powered messaging suggestions and automated replies for fan conversations.
• Multi-account dashboard for managing multiple OnlyFans creator accounts.
• Automation rules triggered by fan activity (new subscribers, messages, etc.).
• Analytics and earnings tracking dashboards.
• Media vault management and PPV script sequencing.
• Team management with role-based access control.

2. Eligibility

To use the Service, you must:

• Be at least 18 years of age.
• Have the legal authority to access and manage the OnlyFans creator accounts you connect to the Service (either as the account owner, or as an authorised agency acting on the creator's behalf).
• Not be prohibited from using the Service under applicable laws or regulations.

By creating an account you represent and warrant that you meet all of these eligibility requirements.

3. Account Responsibility

• Account security — you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• OnlyFans API credentials — you are solely responsible for the OnlyFans API keys and authentication tokens you provide to the Service. Do not share these credentials with unauthorised parties.
• Team members — if you invite team members (operators or viewers), you are responsible for their use of the Service and their compliance with these Terms.
• Accurate information — you must provide accurate, current, and complete information during registration and keep it updated.
• You must notify us immediately at legal@nextsell.ai if you suspect unauthorised access to your account.

4. Subscription & Billing

4.2 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period (monthly or annual) unless cancelled before the renewal date. You authorise us to charge your payment method on file for the renewal amount.

4.3 Cancellation

You may cancel your subscription at any time via the Billing page in your dashboard. Cancellation takes effect at the end of the current billing period; you will retain access until then.

4.4 Refund Policy

• Monthly plans — no refunds for the current billing period. Cancellation prevents future charges.
• Annual plans — if you cancel within 14 days of purchase or renewal, you are eligible for a pro-rated refund for unused months. After 14 days, no refund is issued.
• Exceptional circumstances — we may, at our discretion, offer credits or refunds for significant service outages or billing errors. Contact legal@nextsell.ai.

4.5 Taxes

Prices are exclusive of taxes. You are responsible for any applicable VAT, GST, or other taxes imposed by your jurisdiction.

5. Acceptable Use

You agree not to:

• Use the Service to distribute illegal content, including content that infringes third-party intellectual property rights.
• Use the Service to send spam, unsolicited bulk messages, or harass fans or any other individuals.
• Abuse or attempt to circumvent rate limits, AI usage limits, or plan restrictions.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service.
• Resell, sublicense, or offer the Service as a white-label or competing product without our prior written consent.
• Use the Service in a way that violates OnlyFans' Terms of Service or Community Guidelines.
• Introduce malware, viruses, or any other malicious code into the Service.
• Attempt to gain unauthorised access to other tenants' accounts or data.

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy without notice.

6. AI Features — Important Disclaimer

The Service includes AI-powered features such as message suggestions, automated replies, and fan context analysis. You acknowledge and agree that:

• AI suggestions are not guaranteed — outputs may be inaccurate, inappropriate, or incomplete. Always review suggestions before sending.
• You are responsible for all messages sent — whether sent manually or via automation, you are solely responsible for the content of all messages sent from your connected OnlyFans accounts.
• AI does not replace human judgment — the AI is a tool to assist you, not a substitute for your judgment and oversight.
• Automated reply mode — if you enable full AI auto-reply, you accept full responsibility for any messages automatically sent without your manual review.

7. OnlyFans Integration Disclaimer

NextSell Agency integrates with OnlyFans via the official OnlyFansAPI.com third-party API service. Please note:

• No affiliation with OnlyFans — NextSell Agency is not affiliated with, endorsed by, or officially connected to Fenix International Limited (the operator of OnlyFans).
• API availability — the Service's functionality depends on the availability and terms of the OnlyFans API. Changes to the OnlyFans platform or API may affect or temporarily disrupt our Service. We are not liable for disruptions caused by changes to the OnlyFans platform.
• Creator account compliance — you are responsible for ensuring that your use of NextSell Agency complies with OnlyFans' own Terms of Service.

8. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you agree to the collection and use of your information as described in the Privacy Policy.

9. Intellectual Property

The Service and its original content, features, and functionality are owned by NextSell Agency and are protected by applicable copyright, trademark, and other intellectual property laws.

You retain ownership of all content and data you upload or generate through the Service. By connecting your OnlyFans accounts, you grant us a limited licence to access and process that data solely to provide the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided “as is” and “as available” without warranties of any kind, express or implied.
• We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
• We are not liable for any: loss of revenue or profits; loss of OnlyFans subscribers or fans; damage to your OnlyFans account standing; loss of data caused by OnlyFans API changes; or any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability to you for any claim arising from the Service shall not exceed the amount you paid to NextSell Agency in the 3 months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless NextSell Agency and its officers, directors, employees, and agents from any claims, liabilities, damages, costs, or expenses (including legal fees) arising out of: your use of the Service; any content sent from your connected OnlyFans accounts; your violation of these Terms; or your violation of any third-party rights.

12. Termination

• By you — you may stop using the Service and delete your account at any time via Settings → Delete Account.
• By us — we reserve the right to suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or engage in conduct we reasonably believe is harmful to other users, third parties, or the Service.
• Upon termination, your right to use the Service ceases immediately. Sections 6, 9, 10, 11, and 13 survive termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [jurisdiction — pending legal review], without regard to its conflict of law provisions.

14. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. We will provide at least 14 days' notice of material changes via email. What constitutes a material change is at our sole discretion.

By continuing to use the Service after the effective date of revised Terms, you agree to be bound by the updated Terms.
